Investment case
We operate in African markets which afford substantial market potential across voice, data and mobile money services. Our countries of operation boast some of the highest projected population growth rates in the world, and the region currently has low penetration levels of unique SIMs, data usage and traditional banking services.
Our leadership across Africa provides us with the diversity and scale required to deliver value for telecom and mobile money services to our customers. Our well-invested asset base, strong brand value and recognition, and effective distribution channels (both direct and indirect) afford us sustainable differentiation in the market.
We continue to extend our track record of delivering strong growth and improved operational performance. We have a lean and simplified operating model which combined with an effective management team can deliver revenue growth combined with good profitability and cash flow delivery. Strong country-level management teams with deep knowledge of their markets are supported by subject matter experts at Group level. We also leverage the support of our globally recognised shareholders, including Bharti Airtel, one of the world’s largest telecoms operators.

Board committees
Our Board remains committed to the highest standards of governance and transparent reporting.
Our Board of directors is the primary decision-maker at Airtel Africa. Its members are responsible for our operational and financial performance, setting our strategy and making sure that we manage risk effectively. The Board has delegated certain responsibilities to specialist committees while maintaining overall accountability.

In addition to the formal schedule of matters the Board considers, it delegates certain key aspects of governance to its committees. We have five main governance committees:

Our dividend policy
In October 2021, the Board approved an upgrade to the progressive dividend policy as a result of continued strong business performance and significant progress made in reducing the leverage ratio. The new policy aims to grow the dividend annually by a mid- to high-single digit percentage with a continued focus to further strengthen the balance sheet.
Arrangements for Shareholders that hold their shares on the London Stock Exchange (LSE):
- Shareholders that hold their shares on the LSE may elect to receive their dividend payment in GB pounds or US dollars.
- CREST participants can elect to receive their dividend payment via CREST.
- Holders electing to receive a dividend should specify a choice of currency by completing the currency election form and return to Computershare Investor Services plc.
- The closing date for the dividend currency election to the Company’s Registrars Computershare Investor Services plc in the UK is 8 July 2024.
- Shareholders holding their shares on the LSE who do not indicate their currency of choice before 8 July 2024 will receive their dividends in US dollars.
- Currency election forms can be obtained by contacting the Company’s Registrars, Computershare Investor Services plc, on the Company’s dedicated telephone line: +44 (0)370 7030027.
Arrangements for Shareholders that hold their shares on the Nigerian Stock Exchange (NGX):
- Shareholders that hold their shares on the NGX may elect to receive their entire dividend payment in Nigerian naira or US dollars.
- Holders electing to receive a dividend in US dollars should complete the currency election form and return to Coronation Registrars Limited via email eforms@coronationregistrars.com

- The closing date for the dividend currency election to the Company’s Registrars Coronation Registrars Limited in Nigeria is 8 July 2024.
